Terms and Conditions

1. Introduction

These Terms & Conditions ("Terms") govern your use of the 365Shift platform ("Platform"), accessible via www.365shift.ca. By using the Platform, you agree to these Terms. If you do not agree, you must discontinue use.

365Shift Inc. ("we," "us," or "our") operates as a digital care connection platform, enabling users ("you") to interact directly—whether as care seekers (individuals or organizations) or as independent caregivers. We are not an employer, staffing agency, or recruiter, and no employment, agency, or partnership relationship is created through use of the Platform.

2. User Responsibilities

By using the Platform, you agree to:

  • Provide accurate, complete registration information.

  • Maintain the confidentiality of your login credentials.

  • Use the Platform only for lawful and respectful purposes.

  • Notify us of any unauthorized activity or account misuse.

You may not:

  • Misrepresent your identity or qualifications.

  • Attempt unauthorized access or disrupt Platform functionality.

  • Violate privacy, intellectual property, or any applicable laws.

  • Resell or misuse content without our written permission.

3. Our Responsibilities

We aim to provide a reliable and secure platform, but we do not guarantee uninterrupted service due to:

  • Scheduled maintenance;

  • Technical issues beyond our control (e.g., third-party downtime, security threats).

We are not responsible for the outcome of care arrangements made between users, and we do not guarantee placements, work offers, or care outcomes.

4. Payments & Refund Policy

  • All payments made for subscriptions or services are non-refundable.

  • Users may cancel their subscriptions at any time, but no refunds will be issued for unused periods.

  • Any outstanding service fees must be paid upon cancellation.

5. Intellectual Property

All content, branding, platform design, and software remain the intellectual property of 365Shift Inc. You may not:

  • Copy, distribute, or repurpose Platform content without consent.

  • Misuse logos, trademarks, or proprietary tools.

6. Privacy & Data Protection

By using the Platform, you agree to the terms of our Privacy Policy, which outlines how personal information is collected, stored, and shared. Highlights include:

  • Information is processed in accordance with Canadian privacy laws.

  • We do not sell or misuse user data.

  • Resume or profile data is visible to other users only with your explicit consent.

  • Misuse of user information is strictly prohibited.

7. Platform Monitoring & Integrity

We reserve the right to monitor usage to ensure:

  • Compliance with these Terms;

  • Protection of user data;

  • Platform integrity and performance.

8. Termination of Use

We may suspend or terminate your access if:

  • You violate these Terms;

  • You misuse data or disrupt the Platform;

  • We receive substantiated reports of misconduct;

  • Your account is inactive or at your request.

9. Limitation of Liability & Indemnification

To the fullest extent permitted by law, 365Shift Inc. is not liable for:

  • User errors or false representations;

  • Unauthorized access to your account;

  • Third-party misuse of shared information;

  • Any personal, financial, or care-related outcomes from connections made via the Platform.

We do not control or influence care decisions and assume no liability for any arrangements made between users.

9.2 Indemnification

You agree to indemnify and hold 365Shift Inc. harmless against any claims or liabilities resulting from:

  • Misuse or unauthorized sharing of user data;

  • Disputes between care seekers and caregivers;

  • Legal violations committed through or in connection with the Platform.

10. Governing Law

These Terms are governed by the laws of Ontario, Canada. Any disputes will be resolved under the jurisdiction of Ontario courts.

11. Communication & Notices

You consent to receive notices about your account or Platform updates via email.
